K-1 Aggregator Test Drive Terms of Use

IMPORTANT NOTICE: This test drive is provided with curated example data only. DO NOT upload any actual client data, proprietary information, or confidential documents. Use only the K-1 examples provided by K1x during your evaluation.

By clicking “I Accept” or accessing the K-1 Aggregator test drive, you agree to be bound by these Terms of Use. If you do not agree to these terms, do not access or use the test drive.

1. Acceptance and Scope

These Terms of Use govern your access to and use of the K-1 Aggregator test drive provided by K1x, Inc., a Delaware corporation (“K1x,” “we,” “us,” or “our”). The test drive is provided solely for evaluation purposes to demonstrate the capabilities of K1x’s proprietary tax compliance automation platform.

2. Grant of Limited License

Subject to your compliance with these Terms, K1x grants you a limited, non-exclusive, non-transferable, revocable license to access and use the test drive solely for evaluation purposes during the authorized access period. This license does not grant you any rights to K1x’s underlying software, algorithms, or intellectual property.

3. Restrictions on Use

You may not:

a. Use the test drive for any commercial, production, or business purposes

b. Upload any actual client data, confidential information, or proprietary documents to the test drive

c. Copy, modify, distribute, or create derivative works of any part of the test drive

d. Reverse engineer, decompile, disassemble, or attempt to derive the source code of the platform

e. Benchmark the test drive against competing products or services

f. Access the test drive to build a competitive product or service

g. Share your access credentials with any third party

h. Download, extract, copy, or retain any data from the test drive beyond the authorized access period

i. Use automated tools to access or interact with the test drive except as expressly permitted

4. Data Ownership and Usage

K1x Data Ownership: All data you enter, upload, or create within the test drive becomes the exclusive property of K1x. This includes any analyses, outputs, configurations, or other information generated through your use of the platform.

Prohibited Uploads: You are strictly prohibited from uploading any actual client data, confidential business information, or proprietary documents. Use only the curated K-1 examples provided by K1x for evaluation purposes.

5. Intellectual Property Rights

The test drive, including all software, algorithms, artificial intelligence models, user interfaces, and related technology, contains proprietary and confidential information owned exclusively by K1x. All rights, title, and interest in and to the test drive remain with K1x. No rights are granted to you other than the limited license expressly set forth herein.

6. Test Data and Confidentiality

The test drive contains curated K-1 tax documents and related data owned by K1x (“Test Data”). The Test Data is confidential and proprietary to K1x. You acknowledge that:

a. All Test Data remains the exclusive property of K1x

b. Test Data is provided solely for evaluation purposes and does not represent actual client information

c. You will not disclose, share, or use Test Data for any purpose other than evaluating the test drive

d. You will not retain any Test Data after your access period expires

e. Any results, outputs, or analyses generated using the Test Data remain confidential to K1x

7. User Information and Privacy

By requesting access, you provide certain identifying information to K1x. Your contact information will be shared with third parties at K1x’s discretion for business development purposes. We may use this information to:

a. Verify your identity and approve access requests

b. Communicate with you regarding the test drive and our services

c. Follow up regarding potential commercial arrangements

d. Share with third parties for business development and partnership purposes

e. Comply with legal and regulatory requirements

Your information will be handled in accordance with K1x’s Privacy Policy and applicable data protection laws. By accepting these Terms, you acknowledge that you have read and agree to our Privacy Policy.

8. Access Period and Termination

Your access to the test drive is limited to five (5) business days from the date access is granted (“Access Period”). Access will automatically terminate at the end of the Access Period without notice. K1x may terminate your access immediately at any time for any reason, including violation of these Terms. Upon termination, you must immediately cease all use of the test drive and delete any materials obtained from it.

9. Disclaimers and Warranties

THE TEST DRIVE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND. K1X DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. The test drive may contain bugs, errors, or incomplete features. Results generated by the test drive should not be relied upon for actual tax compliance or business decisions.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, K1X SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE TEST DRIVE, REGARDLESS OF THE THEORY OF LIABILITY. K1X’S TOTAL LIABILITY SHALL NOT EXCEED $100.

11. Compliance and Regulatory Matters

You acknowledge that:

a. The test drive is demonstration software only and not intended for production tax compliance use

b. K1x is not providing tax preparation or advisory services through the test drive

c. You are not receiving professional tax advice through your use of the test drive

d. Any tax-related outputs are for demonstration purposes only

12. Competitor Restrictions

If you are employed by, consulting for, or otherwise affiliated with a company that provides tax compliance software, alternative investment administration services, or related competitive services, you must disclose this relationship when requesting access. K1x reserves the right to deny access to competitors or immediately terminate access upon discovering competitive use.

13. General Provisions

Governing Law: These Terms are governed by Delaware law without regard to conflict of law principles.

Jurisdiction: Any disputes shall be resolved exclusively in the state or federal courts located in New Jersey.

Entire Agreement: These Terms constitute the entire agreement between you and K1x regarding the test drive.

Severability: If any provision is found unenforceable, the remainder shall remain in effect.

Updates: K1x may update these Terms at any time. Continued use after updates constitutes acceptance.
